1. Acceptance of Terms

By accessing or using the Fexza Services, creating a merchant account, integrating our API, or clicking “I agree” (or a similar button), you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any policies referenced in them, including our Privacy Policy.

If you are using the Fexza Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In that case, “you” and “your” refer to that entity.

You must not access or use the Fexza Services if you do not agree to these Terms.

2. About Fexza Services

Fexza LLC (“Fexza”, “we”, “us”, or “our”) operates a crypto payment processing platform that enables merchants to accept supported digital assets (such as USDT on TRC20 and other supported cryptocurrencies) as a method of payment for goods and services. Fexza may also provide related services, including but not limited to: payment APIs, merchant dashboards, payout and mass payout tools, internal transfer features, and other value-added services (collectively, the “Fexza Services”).

Fexza is not a bank, investment firm, broker, exchange, custodial wallet provider, or money transmitter (unless and only to the extent explicitly stated otherwise in applicable jurisdictions and licenses). We do not provide investment advice or any guarantee of profit, price appreciation, or future value of any cryptocurrency.

Your relationship with your own customers, users, donors, or payers (collectively, “End Users”) is separate from your relationship with Fexza. You are solely responsible for your products, services, pricing, refunds, disputes, and compliance with applicable laws in your business.

3. Eligibility and Legal Compliance

To use the Fexza Services, you must:

• Be at least the age of majority in your jurisdiction.
• Have the legal capacity to enter into a binding contract.
• Use the Fexza Services only for lawful purposes and in compliance with all applicable laws, regulations, and sanctions regimes.
• Not be located in, or a resident or citizen of, any jurisdiction where use of the Fexza Services would be contrary to local law or where Fexza is prohibited from offering services.

Fexza may restrict access to the Fexza Services, suspend or terminate accounts, or impose limits where required by law, regulatory obligations (including anti-money laundering and counter-terrorist financing obligations), or internal risk policies.

4. Merchant Account Registration & Verification

Merchant KYC and AML verification are required. To access Fexza Services (such as receiving payments, using mass payouts, or enabling API-based integrations), you must create a merchant account and complete identity and business verification before live processing.

During registration and periodically thereafter, we may request information such as: your legal name, business name, address, contact details, website, nature of business, beneficial ownership information, and documents for verifying your identity and that of your business (e.g., incorporation documents, identity documents, proof of address, tax IDs).

You represent and warrant that all information you provide is accurate, complete, and up to date. You agree to promptly update your information if it changes. Fexza may, at its sole discretion:

• Reject an application for an Account.
• Place transaction or volume limits on your Account.
• Require additional documents or enhanced due diligence.
• Restrict, suspend, or close your Account if information is inaccurate, incomplete, or if we have concerns about risk or compliance.

5. Use of the Fexza Services

You agree to use the Fexza Services solely for accepting or managing cryptocurrency payments in connection with legitimate, lawful business activities. You are responsible for configuring your payment links, invoices, checkout pages, integration settings, and payout preferences.

When you generate a payment request or integrate Fexza via API:

• You must ensure that the order amount, currency, and payment expiry rules (if any) are correctly configured.
• You understand that blockchain confirmations may take time and are subject to network conditions beyond Fexza’s control.
• You are responsible for addressing any disputes, chargebacks, cancellations, refunds, or returns directly with your End Users in accordance with your own terms and policies.

Fexza does not control the underlying blockchain networks and is not responsible for any delays, network congestion, forks, or technical issues affecting transaction processing on such networks.

6. Fees, Network Costs & Settlements

Fexza may charge service fees, platform fees, or other charges for use of the Fexza Services. The applicable fees, fee structures, and any minimum or maximum amounts will be disclosed in your merchant dashboard, pricing page, or specific commercial agreement with you.

In addition to Fexza’s fees, blockchain network fees (“gas” or “network fees”) may apply to transactions. These fees are determined by the underlying network and are outside of Fexza’s control. Depending on your configuration, network fees may be borne by you or your End Users.

Fexza may settle balances:

• In the same cryptocurrency that was received, to your designated wallet; or
• In other forms or currencies, where explicitly supported and agreed in advance.

Settlement times are subject to internal risk checks, AML/CTF controls, and operational processes. Fexza may temporarily hold or delay settlements when required by law, by a competent authority, or where we reasonably suspect fraudulent or suspicious activity.

All fees are non-refundable unless explicitly stated otherwise in a written agreement.

7. Prohibited & Restricted Activities

You must not use the Fexza Services in connection with any activity that is illegal, high-risk, or contrary to these Terms. Illegal cases are not allowed. Prohibited activity includes but is not limited to:

• Money laundering, terrorist financing, or sanctions evasion.
• Sale of illegal drugs, controlled substances, or related paraphernalia.
• Weapons, ammunition, explosives, or related services where prohibited.
• Fraudulent schemes, Ponzi or pyramid schemes, or deceptive marketing practices.
• Unlawful gambling, betting, or lottery services in jurisdictions where you are not properly licensed.
• Adult content or services that violate applicable law or payment industry rules.
• Intellectual property violations, counterfeit or unauthorized goods.
• Any activity that infringes the rights of others or harms Fexza’s reputation or systems.

Fexza reserves the right, in its sole discretion, to determine whether your use of the Fexza Services constitutes a prohibited or restricted activity and may suspend or close your Account, freeze settlements, or decline to process transactions accordingly.

You agree to cooperate with any investigation into your use of the Fexza Services and provide information and documents upon request.

8. APIs, Security & Account Responsibilities

Fexza may provide APIs, SDKs, webhooks, or other technical interfaces for you to integrate the Fexza Services with your own applications, websites, or systems. You must:

• Use API keys and access credentials securely and keep them confidential.
• Implement reasonable security measures (e.g., HTTPS, access controls, firewalls) to protect End User data and transaction information.
• Not attempt to circumvent authentication, rate limits, or security mechanisms.
• Promptly notify Fexza of any suspected or actual unauthorized access, breach, or compromise of your systems or Account.

You are solely responsible for any activity conducted using your Account, API keys, or integrations. Fexza is not responsible for any loss or damage resulting from your failure to maintain the security of your credentials or systems.

9. Data Protection & Privacy

Fexza collects, uses, and protects personal data in accordance with its Privacy Policy , which forms part of these Terms.

You represent and warrant that you will comply with applicable data protection and privacy laws in relation to your End Users, including (where applicable) providing appropriate notices, obtaining consents, and implementing suitable safeguards for transfers of personal data.

You must not use the Fexza Services to collect or store sensitive personal data beyond what is necessary for payment processing and your lawful business purposes.

10. Intellectual Property

All content, design, logos, trademarks, software, interfaces, and technology used in or forming part of the Fexza Services (collectively, the “Fexza IP”) are owned by or licensed to Fexza and are protected by intellectual property laws.

Fexza grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Fexza Services solely as necessary to receive payments and manage your Account in accordance with these Terms.

You must not:

• Copy, modify, distribute, or create derivative works of any Fexza IP.
• Reverse engineer, decompile, or attempt to extract source code from the Fexza Services.
• Use Fexza’s trademarks, logos, or branding without prior written permission.

11. Disclaimers

The Fexza Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, Fexza disclaims all warranties, representations, and conditions, express or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and availability of services.

Fexza does not warrant that:

• The Fexza Services will be uninterrupted, error-free, or secure at all times.
• Transactions will be processed within a specific time frame.
• Any particular cryptocurrency will maintain value or be supported indefinitely.

You acknowledge that the value of cryptocurrencies can be volatile and that you use the Fexza Services at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law, in no event shall Fexza, its affiliates, officers, directors, employees, or agents be liable for any:

• Indirect, incidental, special, consequential, or punitive damages; or
• Loss of profits, revenue, business, goodwill, or data,

arising out of or in connection with your use of, or inability to use, the Fexza Services, whether based on contract, tort, negligence, strict liability, or any other theory, even if Fexza has been advised of the possibility of such damages.

To the extent Fexza is found liable, our aggregate liability to you for all claims relating to the Fexza Services shall not exceed the total fees paid by you to Fexza in the three (3) months immediately preceding the event giving rise to the claim (or any other amount required by mandatory applicable law).

13. Indemnification

You agree to indemnify, defend, and hold harmless Fexza, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including legal fees) arising out of or related to:

• Your use of the Fexza Services or your Account.
• Your breach of these Terms or any applicable law.
• Your products, services, or business practices, including disputes with End Users.
• Any content, data, or instructions submitted through your integrations or systems.

14. Suspension & Termination

Fexza may, at its sole discretion and without liability to you, suspend or terminate your access to the Fexza Services or close your Account at any time, including if:

• You breach these Terms or any other Fexza policy.
• We reasonably suspect fraudulent, illegal, or high-risk activity.
• We are required to do so by law, court order, or a competent authority.
• We decide to discontinue all or part of the Fexza Services.

You may close your Account at any time by following the instructions in your dashboard or by contacting us. Closing your Account does not relieve you of obligations arising prior to closure, including payment of fees, chargebacks, or indemnification obligations.

15. Changes to the Terms

Fexza may modify these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and, where appropriate, provide additional notice (for example via your dashboard or email).

Continued use of the Fexza Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Fexza Services and close your Account.

16. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or the Fexza Services shall be governed by and construed in accordance with the laws of [Specify Governing Law / Jurisdiction], without regard to conflict-of-law principles.

You agree that any disputes will be submitted to the exclusive jurisdiction of the courts of [Specify Venue / City / Country], unless mandatory law provides otherwise. You and Fexza waive any objection to venue or forum based on inconvenience.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

Fexza’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer any of your rights or obligations under these Terms without Fexza’s prior written consent. Fexza may assign these Terms at any time to an affiliate or in connection with a merger, acquisition, or sale of assets.

These Terms constitute the entire agreement between you and Fexza regarding your use of the Fexza Services and supersede all prior or contemporaneous understandings or agreements relating to the same subject matter.
